General Provisions
These Terms and Conditions define the rules for using the service for creating and launching business processes ("Service") available on the HealthVisionAI Platform ("Platform"). The Terms and Conditions constitute an integral part of the agreement between the Client and the Administrator. In case of issues not regulated by the agreement, the relevant provisions of these Terms and Conditions apply.
The Terms and Conditions are available free of charge on the website at: XXXX and are provided to the Client before entering into the Agreement.
The Administrator of personal data is HealthVisionAI Sp. z o.o., with its registered office in Wrocław, at Śrutowa 4/5, 50-256 Wrocław, registered in the District Court for Wrocław-Fabryczna in Wrocław, VII Commercial Division of the National Court Register under the number KRS 0001114309, with a share capital of PLN 5,000 (hereinafter referred to as "HealthVisionAI"). HealthVisionAI is the creator and exclusive owner of the Platform, and the rules for processing personal data are specified in the Privacy Policy available at: XXXX.

To use the Service, the Client must read the content of these Terms and Conditions and accept all of their provisions.
By using the Platform, the User agrees not to engage in illegal activities, particularly to:

  1. Use the Platform in an unlawful manner, including to violate the law,

  2. Use the Platform in a manner contrary to these Terms and Conditions, good manners, or commonly accepted principles of using the Internet,

  3. Use the Platform in a way that violates the rights of HealthVisionAI, other Clients, or third parties, including by entering false or third-party data, impersonating others, or abusing privileges,

  4. Provide data to the Platform that could lead to overloading IT systems or unauthorized modification of data stored on the Platform.

Definitions Used in These Terms and Conditions
HEALTHVISIONAI – a registered trademark belonging to HealthVisionAI (hereinafter referred to as "HealthVisionAI").
APPLICATION – a separate, individual space with its own database that allows access to the Platform. The Application is available in both paid and free versions. Access to the Application is possible only with an individual user account.
PRICE LIST – a list of services available upon contacting us by email at: info@healthvisionai.com, via the contact form on the website: https://healthvisionai.com/kontakt/, or through a Partner.
WORKING DAYS – days from Monday to Friday, excluding statutory holidays.
CLIENT – a natural person, legal entity, or organizational unit that does not have legal personality but has legal capacity, entering into an agreement with HealthVisionAI or its Partner.
USER – a natural person who uses the Platform through the Application.
SERVICE – includes the automation of business processes and electronic document signing. The scope and subject of the service are determined individually with the Client.
PAID SERVICE – a service package provided under an individual agreement entered into with the Client.
PRIVACY POLICY – a document containing information about the protection of the Client's personal data, available at the link: XXX
HEALTHVISIONAI PARTNER – an entity that, based on a separate agreement with HealthVisionAI, has the right to sell, implement, and maintain business processes within the Platform. The Partner may also be referred to as "Partner."
PLATFORM – tools used for designing, managing, and utilizing business processes.
AGREEMENT – an agreement for the provision of business process automation services, entered into individually with the Client electronically.
PROVISION OF ELECTRONIC SERVICES – the provision of services without the physical presence of the parties (remotely), involving the transmission of data at the request of the service recipient, using devices for electronic processing and storage of data that are transmitted, received, or transmitted through telecommunication networks, in accordance with the Act of July 16, 2004 – Telecommunications Law.

Users and Registration
To use the Platform, the User or HealthVisionAI Partner registers via the website https://register.healthvisionai.com by providing necessary data such as first name, last name, email address, and phone number.

By registering, the User voluntarily agrees to use the Platform and declares that the data provided in the registration form is true, complete, and refers to their person.

After successfully completing the registration process, the User gains access to the Application, which allows the use of the Platform through an individual account with a login and password. The account contains data provided by the User during registration (first name, last name, email address, phone number) and is assigned administrator privileges.

  • In case of any changes to the data contained in the account, the User is obliged to promptly update them. The User is responsible for providing incomplete, outdated, or incorrect data.

  • The User may not share their account with others, including disclosing the account password. The User is obliged to keep the password confidential and protect it from being disclosed. In the event that access data to the account is taken over by third parties, the User must immediately inform HealthVisionAI and clarify the circumstances of the incident.

  • The User is obligated to use their account in accordance with the intended purpose of the services provided by HealthVisionAI within the Platform and to avoid actions that may disrupt these services.

  • In the event of a violation of the Terms and Conditions, applicable laws, or principles of good conduct, HealthVisionAI has the right to terminate the agreement with the User or suspend its execution within their account. This also applies to situations where the User has downloaded or used data or materials available on the Platform without HealthVisionAI's consent.

  • Any collection, processing, or sharing of data or other information available on the Platform with third parties, both online and offline, in other online services is prohibited. It is also prohibited to use HealthVisionAI's trademarks, including distinctive graphic elements, without HealthVisionAI's consent.

  • After creating the Application and accepting the Terms and Conditions, the Client agrees to comply with the provisions of the Terms and Conditions and the Privacy Policy, as well as other documents and instructions issued by HealthVisionAI related to the provision of the Service.

  • The Client consents to receiving messages from HealthVisionAI, including information about difficulties, changes, or technical interruptions in the operation of the Service.

  • The Client also agrees to receive VAT invoices issued by HealthVisionAI in electronic form for the provided Service.

  • Use of the Service
    HealthVisionAI, within the provided services, ensures the Client receives:
    • the ability to create an individual Application,
    • access to the Platform,
    • the ability to create and launch business processes,
    • customer support services.

  • The Platform services are available through the Application in two versions:

  • Free version - provides unlimited access to the Platform, but with limited functionality. It allows the creation of up to 10 cases per month in each process. Details regarding available services are specified in the Price List, which can be obtained by contacting via email at: info@healthvisionai.com or through the contact form available at: https://healthvisionai.com/kontakt/.

  • Paid version - tailored to the individual needs of the Client, taking into account the demand for business process automation.

  • The free version of the Application includes the following parameters:
    • 1 GB of storage space for storing documents,
    • no restrictions on the number of user accounts,
    • no restrictions on the number of defined processes,

  • The ability to handle a maximum of 10 cases per month in each process.

 

The Client is entitled to create and use one free version of the Application.

At any time, the Client can upgrade from the free version of the Application to the Paid version by contacting via the form available at the following link: https://healthvision.pl/kontakt/ or by sending an email to: info@healthvisionai.com.

 

The free version of the Application may be deleted by HealthVisionAI if no actions are registered by the User on the Platform within 30 days from the last login.

 

HealthVisionAI reserves the right to refuse to create an Application for the Client, especially if their previous application was deleted within the last 12 months due to a violation of the Terms and Conditions.

 

The Paid version of the Application is only available to Clients who have purchased the Service based on a separate agreement.

Technical Requirements

To use the Service, the Client must have a device that enables internet access, including software for browsing websites that supports cookies and has JavaScript enabled.

HealthVisionAI makes every effort to ensure that the Service functions properly on the latest official versions of browsers such as Internet Explorer, Mozilla Firefox, Google Chrome, and Safari.

 

Payments

The Client using the Paid version of the Application is obliged to make timely payments for the Service in accordance with the terms specified in the Agreement.

HealthVisionAI or the HealthVisionAI Partner will issue a VAT invoice at the end of each billing period specified in the Agreement, with a payment deadline of 14 days. If the Client fails to pay on time, HealthVisionAI or the Partner will send a reminder by email, informing of the upcoming payment deadline and providing an additional 7-day period to settle the overdue payment. If payment is not made within this additional period, the Client is considered to have resigned from the Service.

In such a case, the Client's Application will be blocked, and the Agreement will be terminated with immediate effect.

Payments made before the termination of the agreement due to the circumstances described above are non-refundable.

The Client consents to receiving invoices in electronic form unless they explicitly indicate a preference for paper invoices.

HealthVisionAI reserves the right to change the fee amounts at any time. The new price list will apply to new Clients and any changes in Agreements with existing Clients, such as changes in the number of user accounts or processes.

 

Prohibited Practices

The Client may not use the Service in a way that violates the law, good morals, the provisions of the Terms and Conditions, the intellectual property rights of others, or that may harm the activities, image, or reputation of HealthVisionAI.

HealthVisionAI does not monitor the Client’s activities related to the use of the Service, but reserves the right to block access to the Service or parts of it if it receives information or suspects that the Client's activities violate the law, HealthVisionAI’s Policy, the Terms and Conditions, the rights of third parties, or are otherwise inappropriate. In such cases, HealthVisionAI is not liable for any actions taken.

Content
The Client is fully responsible for any information, data, texts, documents, graphics, logos, videos, audio files, and other content that they upload, send, or in any way share using the Service. This responsibility also includes any content containing links to other websites or resources, as well as services provided by third parties that the Client uses.

The Client declares that they have full rights to all content posted, except for materials sourced from HealthVisionAI's resources.

A Client who has purchased the paid version of the Application may consent to having their information included in HealthVisionAI's marketing materials, in accordance with the terms of the Agreement.

Customer Service and Complaints
HealthVisionAI provides customer support through email inquiries sent to: info@healthvisionai.com. A Client wishing to receive assistance should include at least the name of their Account in the inquiry.

The Client has the right to file a complaint regarding the provided services in the following formats:

HealthVisionAI does not consider anonymous inquiries or complaints. To process a complaint, the Client must provide their Account name, describe the factual state of the matter, and mention any concerns regarding the services provided.
Inquiries and complaints are processed on business days within 24 hours.
The Client will be informed of the outcome of the complaint in writing or by email to the address provided in the complaint.

Account Deletion / Termination of Agreement
The Client may terminate access to both the paid and free versions of the Application at any time.
To terminate the Service, the Client should send a request for account deletion to: info@healthvisionai.com or through a HealthVisionAI Partner.
After reviewing the termination request, HealthVisionAI will block the Client's account.
Within 60 days from the blocking of the Application, the Client may request the Application to be reactivated by sending a request to: info@healthvisionai.com. Reactivation is contingent upon payment for the entire period of access suspension.

After 60 days, the Application will be permanently deleted from the Platform, along with all stored data and documents.
HealthVisionAI reserves the right to terminate the Agreement with immediate effect or block access to the Service in whole or in part if the Client violates the Terms and Conditions, including but not limited to:
• Failure to pay the Service fee on time,
• Engaging in prohibited practices,
• Violating the rules regarding the use of HealthVisionAI's trademarks and intellectual property,
• Providing false or outdated data,
• Transferring rights and obligations from the Agreement to a third party without prior consent from HealthVisionAI.

Termination of the Application does not relieve the Client from the obligation to pay for the Service for the period it was used up to the date of termination.
Regardless of the reasons for terminating the Agreement, the Client is not entitled to a refund of any payments, either in full or in part.

Personal Data Protection
If the Client provides personal data, the Administrator will process it in accordance with applicable laws and the Privacy Policy, available at the following link: https://healthvisionai.com/polityka-prywatnosci/.

Intellectual Property
HealthVisionAI is a registered trademark belonging to HealthVisionAI, protected in the territory of the Republic of Poland and other European Union countries, as well as in the United States. The Service, the software of the HealthVisionAI Platform, and the content published on

The content on the website https://healthvisionai.com/ ("Works"), including texts, graphics, logos, button icons, images, audio files, and applications, is the property of HealthVisionAI or its Partners.

The Client is prohibited from using the Works, as well as trademarks and other designations protected by HealthVisionAI, unless such use directly results from the nature of the Service provided or if HealthVisionAI grants written permission for the Client to use these resources.

Service Availability
HealthVisionAI reserves the right to:
• Modify or change the features of the Service, including its updates, and to replace or modify the hardware and software used to provide the Service at any time, provided such changes do not have a significant negative impact on the Service’s provision.
• Interrupt the provision of the Service due to technical reasons (e.g., failures, repairs, maintenance), without being held liable for such interruptions. In the case of scheduled interruptions lasting longer than one business day, HealthVisionAI will make efforts to inform the Client at least one day in advance.
• Modify, delete, or add any content, documents, or graphics on the website https://healthvisionai.com/ at any time.

Responsibility and Role of HealthVisionAI
The Client accepts the form and scope of the Service and the HealthVisionAI Platform without any warranties, either express or implied, from HealthVisionAI.

HealthVisionAI provides the Users with IT tools to communicate with each other but is not responsible for the actions of Users or for any improper performance of legal or factual acts by them while using the HealthVisionAI Platform.

HealthVisionAI is not responsible for the consequences of actions taken by Users or third parties that may constitute a violation of the Terms and Conditions. In particular, HealthVisionAI is not responsible for the failure to conclude or the invalidity of agreements made by Users as a result of their actions or omissions.

HealthVisionAI is not responsible for the accuracy of the data provided by the Users or for their ability to perform legal acts.
The Client is fully responsible for using access to the Platform.

HealthVisionAI is not liable for any damages, including data loss or lost profits caused by:
• Force Majeure,
• Intervention by third parties, including Clients, regarding access to the Application by third parties using the Client’s or their users’ login data,
• External factors such as telecommunications system failures, which are beyond HealthVisionAI's control,
• Failure by the Client to comply with the Terms and Conditions,
• Incorrect or outdated data provided by the Client during registration.

Force Majeure includes events that are unpredictable, external, and impossible to prevent. Such circumstances include, but are not limited to, epidemics, wars, natural disasters, strikes, system failures, DDoS attacks, other disruptions in telecommunication networks, and administrative actions that affect the provision of the Service and are beyond HealthVisionAI’s control.​

HealthVisionAI is not responsible for any losses related to the loss of Client data stored on servers, even though it makes efforts to regularly back up data and documents as part of the Service provided.

HealthVisionAI's liability is limited solely to direct losses incurred by the Client.

HealthVisionAI is not liable for indirect losses (including loss of revenue, profits, interest, or other financial benefits) except in cases where there is intentional wrongdoing or gross negligence by HealthVisionAI.

HealthVisionAI's total liability is limited to the amount paid by the Client for the Service in the month immediately preceding the submission of the claim. The Client agrees to release HealthVisionAI from any obligations exceeding this amount.

Liability Release
The Client agrees to release HealthVisionAI, its employees, collaborators, contractors, partners, and representatives from any liability related to third-party claims arising from the Client's use of the Service, actions of its users, violations of the Terms and Conditions, laws, or third-party rights.

Rules for Electronic Document Signing
To use the electronic document signing service on the HealthVisionAI platform, the user must have an information technology system that meets at least the following technical requirements:
• Access to the internet,
• The ability to use a commonly available web browser whose settings support encrypted connections, in the case of logging into HealthVisionAI via a secured page,
• The ability to use software that allows reading files in various formats that can be sent by collaborators of the user on the HealthVisionAI platform,
• Access to email, with the address provided during registration or account update.

Using some features of the Platform may require meeting additional conditions, especially when using advanced or qualified electronic signatures. The user must then have the appropriate device or service for signing electronically and a valid certificate issued by the relevant trust service provider, as well as the necessary software required by that provider.

The electronic document signing service can be used by individuals who are at least 18 years old. Users may act on their behalf or within their authorization, including on behalf of legal entities and other organizational units.

Electronic document signing does not require an account on the platform. An account is only necessary for the user who sends the document for signing, regardless of whether they will sign the document or not.
If the platform allows entering data for third parties (e.g., for recommendation purposes or communication), the user entering this data declares that they have obtained the appropriate consent from the person whose data is being used on the platform. Otherwise, the user is fully responsible for the unauthorized transfer of this data and releases HealthVisionAI from any claims.

Users can use their accounts to:
• Make declarations of intent on their own behalf,
• Make declarations of intent on behalf of others, based on granted authorization (e.g., as a representative or member of an enterprise body),
• Participate in the document circulation process.

HealthVisionAI offers the following services to users:
• Electronic user identification: the process of acquiring, storing, and sharing information about how the user's personal data is verified and presenting their status for evaluating their credibility by contractors,
• Electronic document signing: the process of making declarations of intent by users, including accepting the document's content and creating an electronic signature (advanced or qualified),
• Electronic sealing of documents: ensuring the integrity and authenticity of a document through the use of an electronic seal,
• Electronic document storage: storing documents on the platform's servers,
• Permanent medium for digital documents: storing or transferring documents online in a manner that prevents modification and enables future access.

Users can create business accounts, which store company data, a list of authorized users, and a history of actions on the platform. It is prohibited to create an account for companies that the user is not authorized to represent.

Users with business accounts agree to HealthVisionAI using their company name and logo to mark the account and user and to provide services in accordance with the terms and conditions.
The platform may also offer additional services, such as API services, under the terms specified in the client agreement. If the provision of any service requires the involvement of a specialist entity (e.g., a trust service provider), these services will be provided by specialized companies according to separate agreements.
Users can upload electronic documents to the platform's server, including files containing statements, agreements, or offers to conclude a contract. The maximum file size and available formats depend on the account parameters assigned by HealthVisionAI.

Users can specify individuals who should have access to the document and define their role in the process of reviewing or accepting the content of the file. It is also possible to specify individuals outside the platform by providing their email address or phone number.
Each person authorized to make declarations of intent should have the appropriate authorization to represent the entity for which the business account was created. HealthVisionAI is not responsible for the lack of proper authorization.

Confirming the "Sign" option (or another indicating acceptance) constitutes the user's declaration of intent, and the document is considered signed. After being signed by all individuals listed as "SIGNERS," the document is approved, and the agreement is concluded.

An electronic version of the document will appear on each user’s account who signed it, along with the dates and information about how the signatures were applied.

Users may be verified using various methods, such as email verification, qualified electronic signature, SMS, or identification services provided by other service providers.

Final Provisions
HealthVisionAI reserves the right to amend the Terms and Conditions at any time. The current version of the Terms and Conditions is available at: https://healthvisionai.com/regulamin-platformy/.

The agreement between the User and HealthVisionAI, concerning the provision of services within HealthVisionAI, is governed by Polish law, unless European Union law regarding consumers states otherwise.

The parties agree that any statements sent by one party to the other during the use of the Service may be made electronically to the following addresses:
• For the Client: the email address provided in the registration form,
• For HealthVisionAI: the email address info@healthvisionai.com or via a HealthVisionAI Partner.

In matters not regulated by these Terms and Conditions, the applicable provisions of generally applicable law, including the Civil Code, the Act on the Provision of Electronic Services, and the Regulation (EU) No. 910/2014 of the European Parliament and the Council of 23 July 2014, will apply. Any disputes between HealthVisionAI and the Client will be resolved by the common court, with jurisdiction over the registered office of HealthVisionAI.

This version of the Terms and Conditions is effective from January 1, 2024.
